Having been in a mid level management position myself, I find that even with competent and concerned management, this can happen due to "institutional momentum". A lousy decision gets made once and that suddenly becomes the standard, everyone worried about rocking the boat.
About the salary, since you know this to be a high salary for the job, go in with your eyes open and ask about other responsibilities that might be included with this job. They MAY be expecting to get the money back in combining a few responsibilities under one hat.
